Using null theme is very unethical. It has a high risk of getting website hack, As you don’t have an option for any automatic update there is a chance that website can get broke. And also theme author can send a DMCA to site owner. For both issue client will contact you first. If you can not solve it will obviously cause a problem. As a expert web developer you must not use any pirated/null theme or plugins.
